Tencent Weixin Software License and Service Agreement
Introduction
Thank you for using Tencent Weixin software and services!
To use Tencent Weixin software (hereinafter referred to as the "Software") and services, you shall read and comply with the Tencent Weixin Software License and Service Agreement (hereinafter referred to as the "Agreement"), as well as the Tencent Terms of Service. Please carefully read and fully understand the content of each clause, especially those clauses that exempt or limit liability, and the separate agreements for activating or using certain services, and choose to accept or reject them. Restrictive and exemption clauses may be highlighted in bold or similar forms for your attention.
Unless you have read and accepted all the terms of the Agreement, you are not entitled to download, install or use the Software and related services. Your acts of downloading, installing, using, obtaining a Weixin account, or logging in shall be deemed as your having read and agreed to be bound by the aforementioned agreements.
If you are under the age of 18, please read the Agreement and the other agreements mentioned above accompanied by your legal guardian, and pay special attention to the terms regarding minors. In particular, if you are a child under the age of 14, before completing account registration, you should also have your guardian carefully read the Children's Privacy Protection Statement specifically formulated by Tencent. Only after obtaining your guardian's consent to the Children's Privacy Protection Statement may a child under the age of 14 use Weixin services.
I. Scope of the Agreement
1.1 Scope of the Parties to the Agreement
The Agreement is an agreement between you (hereinafter also referred to as the "User") and Tencent regarding your download, installation, use, and copying of the Software, as well as your use of Tencent's related services.
1.2 Agreement Relationship and Conflict Clauses
The Agreement shall be deemed as a supplementary agreement to the Tencent Terms of Service and is an integral part thereof. In the event of any conflict between the Agreement and the aforementioned content, the Agreement shall prevail.
The content of the Agreement also includes relevant agreements, business rules, and other content regarding the Service that Tencent may publish from time to time. Once officially published, such content shall become an integral part of the Agreement, and you shall likewise comply.
II. About the Service
2.1 Content of the Service
The content of the Service refers to the cross-platform communication tool (hereinafter referred to as "Weixin") provided by Tencent to users, supporting interaction involving one or more participants. Building upon instant messaging services such as sending voice messages, videos, images, stickers, and text, the Service also provides users with software licensing and services including but not limited to social network expansion, convenient tools, Weixin Official Accounts, Open Platform, Channels, Stores, information interoperability with other software or hardware, and other features or content(hereinafter referred to as the "Service").
2.2 Forms of the Service
2.2.1 To use the Service, you need to download the Tencent Weixin client software. For such software, Tencent grants you a personal, non-transferable and non-exclusive license. Weixin for Web, Windows, Mac, Car, and Watch versions require logging in via scanning a QR code. You may use such software and services solely for the purpose of accessing or using the Service.
2.2.2 The Tencent Weixin client software within the Service may provide multiple application versions, including but not limited to iOS, Android, Windows Phone, Symbian, BlackBerry, Windows, Mac, Linux, and HarmonyOS, etc. Users must select the software version that matches their installed terminal device.
2.3 Scope of License for the Service
2.3.1 Tencent grants you a personal, non-transferable and non-exclusive license to use the Software. You may, for non-commercial purposes, install, use, display and run the Software on a single terminal device.
2.3.2 You may make one copy of the Software solely for backup purposes to use the Service. The backup copy must contain all copyright information contained in the original software.
2.3.3 All other rights not expressly authorized by this article or other clauses of the Agreement are reserved by Tencent. You must obtain separate written permission from Tencent when exercising these rights. Tencent's failure to exercise any of the foregoing rights shall not constitute a waiver of such rights.
III. Acquisition of the Software
3.1 You may obtain the Software directly from Tencent's website or from third parties authorized by Tencent.
3.2 If you obtain the Software or an installation program with the same name as the Software from a third party not authorized by Tencent, Tencent cannot guarantee the normal use of such software and shall not be liable for any loss caused to you thereby.
IV. Installation and Uninstallation of the Software
4.1 Tencent may have developed different software versions for different terminal devices. You should select the appropriate version for download and installation based on the actual circumstances.
4.2 After downloading the installation program, you need to follow the steps prompted by the program to install it correctly.
4.3 To provide higher quality and more secure services, Tencent may recommend that you install other software during the installation of the Software. You may choose whether to install such software or not.
4.4 If you no longer need to use the Software or need to install a new version, you may uninstall it yourself. Please note that after uninstalling the Software, the Chat History stored on the user's terminal device will be cleared and cannot be viewed after re-installation. If you are willing to help Tencent improve its products and services, please inform us of the reason for uninstallation.
V. Software Updates
5.1 To improve user experience and service content, Tencent will continuously strive to develop new services and provide you with software updates from time to time (which may take the form of software replacement, modification, functional enhancement, version upgrade, etc.).
5.2 To ensure the security of the Service and the consistency of its functions, Tencent has the right to update the Software, or to change or restrict the effects of certain functions of the Software, without special notice to you.
5.3 After a new version of the Software is released, older versions may become unusable. Tencent does not guarantee that older versions will continue to be usable or that corresponding customer service will be provided. Please check and download the latest version at any time.
VI. User Personal Information Protection
6.1 Protecting user personal information is a fundamental principle of Tencent. Tencent will take reasonable measures to protect user personal information. Except as stipulated by laws and regulations, Tencent will not disclose or reveal user personal information to third parties without the user's permission. Tencent adopts professional encrypted storage and transmission methods for relevant information to ensure the security of user personal information.
6.2 During the process of registering an account or using the Service, you need to provide some necessary information. For example, to provide you with account registration services or user identification, you need to fill in your mobile phone number; the People Nearby feature requires your consent to use your geographic location information; the mobile contact matching feature requires your authorization to access your mobile contacts, etc. Where national laws, regulations or policies specially provide, you need to provide your real identity information. If the information you provide is incomplete, you may be unable to use the Service or may be restricted during its use.
6.3 Generally, you may browse and modify the information you have submitted at any time. However, for security and identity verification (such as number appeal services) purposes, you may be unable to modify the initial registration information and other verification information provided at the time of registration. If you register a new Weixin account through the assistance of an existing Weixin account, Tencent will deem the mobile phone number verified during the registration of the new Weixin account as the initial mobile phone number for that account.
6.4 Tencent will utilize various security technologies and procedures to establish a comprehensive management system to protect your personal information from unauthorized access, use or disclosure.
6.5 Tencent attaches great importance to the protection of personal information of minors. If you are a minor under 18 years of age, you should obtain prior written consent from your parent or legal guardian before using Tencent's services.
6.6 For further information on how Tencent collects, uses, stores and protects your personal information in the Service and what rights you enjoy, you may also read the Weixin Privacy Protection Guidelines.
VII. Main Rights and Obligations
7.1 Account Usage Specifications
7.1.1 You need to register a Weixin account before using the Service. A Weixin account can be registered using a mobile phone number and bound to that number. Alternatively, you may register a new Weixin account through the assistance of an existing Weixin account. After successful registration, you may link a QQ ID or an email address. If you use an email address for linking, please use one that is not linked to a Weixin Official Accounts Platform account. Subject to compliance with platform rules, you may change the linked mobile phone number. Tencent has the right to stipulate the prerequisites for registering a new Weixin account through the assistance of an existing Weixin account. Users shall not register an unreasonable number of accounts using the same identity.
Tencent has the right to change the methods of account registration and linking according to user requirements or product needs. Regardless of the method you use to register a Weixin account as stipulated in the Agreement, you shall comply with the QQ ID Rules, the Standards of Weixin Account Usage, relevant agreements on account usage, and special rules published by Tencent for this purpose regarding the specific rules for your account usage.
7.1.2 The ownership of the Weixin account vests in Tencent. After completing the application and registration procedures, the user only obtains the right to use the Weixin account, and such right of use belongs only to the initial registrant. Furthermore, the initial registrant shall not gift, lend, lease, transfer, or sell the Weixin account, or otherwise permit non-initial registrants to use the Weixin account. Non-initial registrants shall not use the Weixin account by way of gift, inheritance, lease, transfer, or any other means.
7.1.3 Users are responsible for properly safeguarding their registered account information and passwords and shall bear legal responsibility for actions under their registered accounts. Users agree not to disclose account and password information to others under any circumstances. If you suspect that someone else is using your account, you shall notify Tencent immediately.
7.1.4 When you register a Weixin account using a mobile phone number, the system will automatically assign a Weixin ID to you. You may set your Weixin ID or modify it according to the instructions on relevant functional pages, subject to meeting the corresponding conditions.
7.1.5 When you use a specific service or feature of the Software client, such service or feature may require you to create or register a new account (hereinafter referred to as "Feature Account") based on your Weixin account. You shall operate according to the specific requirements. Unless otherwise specified or permitted in writing by Tencent, the ownership of the said Feature Account also vests in Tencent. After completing the creation or registration, you only obtain the right to use the Feature Account, and such right of use likewise belongs only to the initial registrant. The initial registrant shall not gift, lend, lease, transfer, or sell the Feature Account, or otherwise permit non-initial registrants to use the Feature Account. Non-initial registrants shall not use the Feature Account by way of gift, inheritance, lease, transfer, or any other means.
7.1.6 If a user does not log in to a Weixin account or Feature Account for a long period after registration or creation, Tencent has the right to reclaim such account to avoid waste of resources. Any losses resulting therefrom shall be borne solely by the user.
7.2 User Precautions
7.2.1 You understand and agree that the Software will utilize resources such as the processor and bandwidth of your terminal device to provide you with effective services. Data traffic fees may be incurred during the use of the Software. You shall consult your operator for relevant tariff information and bear the relevant costs yourself.
7.2.2 You understand and agree that certain features of the Software may allow third parties to know user information. For example, Weixin users and WeChat users can add each other as friends, and communicate or socialize through features such as Chat, Group Chats (actively joining or being invited to join), Moments, Channels, Live Stream, WeRun, etc. Friends can view publicly available personal data such as the user's Profile Photo, Name, Weixin ID, Moments, as well as publicly available information such as the user's Channels Profile Photo, Name, Bio, posted content and interaction information. For users who register a Weixin account with a mobile phone number or who have their mobile phone number associated with a Weixin account, the Weixin account can be queried by friends whose mobile contacts contain that number. After following certain types of Official Accounts or Service Accounts, users will become followers. Operators of the relevant Official Accounts or Service Accounts can obtain the followers' Profile Photo, Name, Comment content, images, videos, and other information according to their functional permissions, and can interact with followers by sending messages through the Weixin Official Accounts Platform. Followers' comments, as well as images and videos uploaded to the relevant Official Accounts or Service Accounts, can be published within the Official Account or Service Account by the operators with corresponding functional permissions for third-party viewing. After a user chooses to enable information interoperability between Weixin and other software or hardware, the provider of such other software or hardware can obtain information that the user actively discloses or transmits in Weixin. Users should fully understand the product functions and information protection policies of such other software or hardware before making a choice.
7.2.3 When you use a specific service of the Software, such service may have separate agreements, relevant business rules, etc. (collectively referred to as "Separate Agreements"). Please read and agree to the relevant Separate Agreements before using such service. Your use of such specific service shall be deemed as your acceptance of the relevant Separate Agreements. For example, if you need to use Weixin Pay related services (including but not limited to Balance, Weixin Red Packet, Transfer, Payment, Receive Money), you must read and comply with the Weixin Pay User Service Agreement; if you need to use Channels related services (including but not limited to browsing, liking, commenting, forwarding, sharing, creating or registering Channels), you must read and comply with the Weixin Channels Operation Standards.
7.2.4 You understand and agree that Tencent will use its commercially reasonable efforts to ensure the security of your data storage in the Service. However, Tencent cannot provide an absolute guarantee in this regard, including but not limited to the following circumstances:
7.2.4.1 Tencent is not responsible for the deletion or storage failure of your relevant data in the Service;
7.2.4.2 Tencent has the right to determine at its own discretion the maximum storage period for data of an individual user in the Service and allocate the maximum data storage space on the server for such user based on actual circumstances. You may back up relevant data in the Service according to your own needs;
7.2.4.3 If you stop using the Service or if the Service is terminated or cancelled, Tencent may permanently delete your data from the server. After the Service is stopped, terminated or cancelled, Tencent has no obligation to return any data to you.
7.2.5 When using the Service, users must personally bear the following risks that are beyond Tencent's control, including but not limited to:
7.2.5.1 Risks such as loss or leakage of personal information that may be caused by force majeure factors;
7.2.5.2 Users must select the software version that matches their installed terminal device; otherwise, any problems or damages caused by the incompatibility between the software and the terminal device model shall be borne solely by the user;
7.2.5.3 Risks that may be caused by third-party websites and related content when users use the Software to access third-party websites shall be borne solely by the user;
7.2.5.4 Risks and liabilities that may be brought about by the dissemination of content posted by users being forwarded or shared by others;
7.2.5.5 Risks such as data reception failure or loss caused by insufficient storage space or malfunction of the user's terminal device;
7.2.5.6 Risks such as Tencent Weixin login failure, incomplete data synchronization, or slow page loading speed caused by unstable wireless network signals or low wireless network bandwidth;
7.2.5.7 You understand and agree that during account registration or use of the Service, if it is discovered that your account may involve abnormal situations or risks such as fraud, Tencent has the right to re-verify your account in accordance with relevant laws and regulations, and may, based on the risk level, take measures such as requiring rectification within a time limit, restricting functions, suspending use, closing the account, prohibiting re-registration, and other handling measures stipulated in the Agreement. In the process of providing the Service to you, if any clues or risk information regarding fraud-related crimes are discovered, Tencent has the right to transfer such information to competent authorities including public security, finance, telecommunications, and cyberspace administrations in accordance with relevant national regulations and the type and degree of fraud-related risks. When using the Service, please properly safeguard your personal account and password, and do not illegally buy, sell, lease, or lend personal accounts.
7.2.5.8 You understand and agree that, in the process of using the Service, you may encounter risk factors such as force majeure that cause an interruption of the Service. Force majeure refers to objective events that are unforeseeable, insurmountable, and unavoidable, and have a significant impact on one or both parties, including but not limited to natural disasters such as floods, earthquakes, storms, epidemics, as well as social events such as wars, riots, governmental actions.
7.3 Artificial Intelligence-Related Services
7.3.1 You understand and agree that the Service may contain artificial intelligence-related features (hereinafter referred to as "AI Features"). AI Features are intended for personal learning, research, appreciation, daily life, and entertainment use within the Service.
7.3.2 You shall use AI Features in compliance with laws and regulations, as well as the relevant requirements of the Agreement and the Standards of Weixin Account Usage. You must ensure that the information, data and usage behavior you provide under the AI Features comply with the requirements of relevant laws and regulations, and do not infringe upon the legitimate rights and interests of any third party (including but not limited to intellectual property rights, reputation rights, portrait rights, privacy rights, personal information, trade secrets). You shall not intentionally induce the generation of content that violates the aforementioned requirements; otherwise, you shall bear all resulting disputes or liabilities. Furthermore, you shall use the AI Features and their output content in a lawful and reasonable manner, and shall not use them for purposes that violate laws and regulations, are contrary to public order and good morals or social ethics, infringe upon the legitimate rights and interests of other users or third parties, or interfere with the normal operation of the Software. You are independently liable for the act of using the AI Features and their output content. Any disputes with other users or third parties arising from your use shall be resolved solely by you, and you shall bear the legal responsibility independently.
7.3.3 You understand and agree that, limited by the current prevailing technical capabilities of the industry, Tencent cannot guarantee that the AI Features are 100% accurate and reliable, continuously stable, or free from any deviation or malfunction, nor does Tencent provide any form of guarantee or endorsement for the accuracy, completeness, timeliness or applicability of their output content. Any losses incurred due to deviations or malfunctions of AI Features, or defects in the output content shall be borne by you. Please exercise prudent judgment before using the AI Features or performing related operations. The output content of AI Features is for your reference only and does not represent Tencent's attitude, views, or stance, nor does it constitute or substitute for any professional advice. You must judge and verify it yourself and bear the resulting responsibilities and consequences. Especially in professional scenarios or fields involving credit, investment and financing, wealth management, insurance, law, medicine, education, etc., please exercise caution and consult professionals to avoid making decisions based directly on the output content that may have substantial legal consequences or other significant impacts on you.
7.3.4 Tencent will, in accordance with the requirements of laws and regulations, add corresponding identifiers for AI-generated and synthesized content to the output content of AI Features, including explicit identifiers that can be clearly perceived by you (such as text prompts indicating the content is AI-generated), as well as implicit identifiers embedded in the output content file data (explicit identifiers and implicit identifiers are collectively referred to as "AI Identifiers"). When using AI-generated and synthesized content, you shall comply with relevant laws and regulations on AI Identifier management, and shall not delete, tamper with, forge, conceal, or in any way circumvent the AI Identifiers added by AI Features. If you separately apply to obtain output content with the explicit identifiers removed, you must proactively declare and separately fulfill identification obligations in accordance with applicable laws and regulations when publishing or disseminating such output content, indicating that such content is AI-generated and synthesized. Under no circumstances shall you maliciously use the AI Features to publish or disseminate false information or information that may cause public confusion or misunderstanding.
7.4 Third-Party Products and Services
7.4.1 When using products or services provided by third parties within the Software, in addition to complying with the Agreement, you shall also comply with the user agreements of such third parties. Tencent and the third parties shall each bear responsibility for possible disputes within the scope of legal provisions and agreements.
7.4.2 When using products or services provided by third parties, if you need to provide information data generated from using the Service, given that such information data may involve the legitimate rights and interests of you or relevant rights holders, please comply with the Agreement and the relevant platform rules of the Service, and obtain the prior consent of the relevant rights holders to avoid damaging the legitimate rights and interests of yourself and relevant rights holders.
7.4.3 When users use the Software or request Tencent to provide specific services, the Software may call third-party systems or support users' use or access through third parties. The results of such use or access are provided by said third parties (including but not limited to services provided by third parties through Weixin Official Accounts, or content accessed via the Weixin Open Platform). Tencent does not guarantee the security, accuracy, effectiveness, or other uncertain risks of services and content provided through third parties. Tencent is free from and shall not bear any liability for any disputes or damages arising therefrom.
7.4.4 Third-party service providers may provide products or services to you through the Software. Tencent provides corresponding technical support for your use of third-party services. For example, you may follow Official Accounts or Service Accounts registered by third parties, accept services and products provided by third parties through Mini Programs, or log in to and use other Internet services through Weixin’s authorized login capability. You understand and acknowledge that third-party services may be provided by entities registered within or outside of Chinese Mainland. You can learn about the service provider's information through relevant interaction pages (such as the "More Info" page of a Mini Program, the homepage of an Official Account or Service Account), etc. In this process, depending on the services you use, third-party service providers may access, collect, use, and store your relevant data or information. Tencent strictly requires third-party service providers, through relevant agreements signed with them, Weixin-related specifications, and reasonable product process designs, to ensure that any access to your data complies with applicable laws and regulations, is subject to your prior express consent, involves necessary data protection measures, and is limited to reasonable use of your relevant data for product or service purposes only. Tencent also requires such third-party service providers to provide you with means to modify or delete your own data, and to delete all data upon termination of service so as to protect your data and privacy from infringement to the greatest extent possible. You should fully understand the entity information of the third party and the terms and policies of their products or services before accepting or using them. If you find that a third-party service provider has engaged in relevant illegal or non-compliant behavior, you may file a complaint with Tencent, and Tencent will handle it upon verification.
7.4.5 You understand and agree that Tencent has the right to decide to use the Software for commercial purposes, including but not limited to developing and using part of the services of the Software to promote third parties. Tencent undertakes to strictly protect your personal information in accordance with the Agreement during the promotion process. Meanwhile, you may also choose to block or refuse to receive relevant promotional information through system settings.
VIII. User Code of Conduct
8.1 Information Content Specifications
8.1.1 The information content referred to in this article means any content created, copied, published, or disseminated by users during the use of the Service, including but not limited to registration information such as the Profile Photo, Name, user description, and Bio of a Weixin account or Feature Account; text, voice messages, images, videos, and stickers sent; Moments posts (text/images/videos), videos posted in Status, Channels content, and related link pages; as well as other content generated from using the Weixin accounts, Feature Accounts, or the Service.
8.1.2 You understand and agree that Weixin has always been committed to providing users with a civilized, healthy, well-governed, and orderly online environment. You shall not use Weixin accounts, Feature Accounts, or the Service to create, copy, publish, or disseminate content that disrupts the normal operation of Weixin or infringes upon the legitimate rights and interests of other users or third parties, including but not limited to:
8.1.2.1 Publishing, transmitting, disseminating, or storing content that violates the provisions of national laws and regulations:
(1) Opposing the basic principles established by the Constitution;
(2) Endangering national security, divulging state secrets, subverting state power, or undermining national unity;
(3) Damaging national honor and interests;
(4) Distorting, vilifying, desecrating, or denying the deeds and spirit of heroes and martyrs, or infringing upon their names, portraits, reputation, or honor through insults, defamation, or other means;
(5) Promoting terrorism or extremism, or inciting the commission of terrorist or extremist activities;
(6) Inciting ethnic hatred or discrimination, or undermining ethnic unity;
(7) Undermining national religious policies or promoting cults and feudal superstitions;
(8) Spreading rumors, disrupting social order, or undermining social stability;
(9) Spreading obscenity, pornography, gambling, violence, terror, or abetting crimes;
(10) Insulting or slandering others, or infringing upon the reputation, privacy, and other legitimate rights and interests of others;
(11) Using exaggerated titles where the content is seriously inconsistent with the title;
(12) Hyping up gossip, scandals, misdeeds, etc.;
(13) Making improper comments on natural disasters, major accidents, or other calamities;
(14) Containing sexual innuendo, sexual provocation, or other content likely to cause sexual associations;
(15) Displaying gore, horror, cruelty, or other content that causes physical or mental discomfort;
(16) Inciting mass discrimination or regional discrimination, etc.;
(17) Promoting vulgar, kitschy, or pandering content;
(18) Content that may induce minors to imitate unsafe behaviors or acts violating social morals, or induce bad habits in minors, etc.;
(19) Content that infringes upon the legitimate rights and interests of minors or harms their physical and mental health;
(20) Other content that has adverse effects on the online ecosystem;
(21) Inciting illegal assemblies, associations, processions, demonstrations, or gathering crowds to disrupt social order;
(22) Operating in the name of illegal non-governmental organizations;
(23) Failing to comply with the Interim Provisions on the Development and Administration of Public Information Services of Instant Messaging Tools and the requirements of the "Seven Bottom Lines" (i.e. compliance with laws and regulations, the socialist system, national interests, citizens' legitimate interests, public order, social moral norms, and information authenticity);
(24) Other content prohibited by laws or administrative regulations.
8.1.2.2 Publishing, transmitting, disseminating, or storing content that infringes upon others' legitimate rights such as reputation rights, portrait rights, intellectual property rights, and trade secrets;
8.1.2.3 Involving the privacy, personal information, or data of others;
8.1.2.4 Publishing, transmitting, or disseminating harassment, advertisements, excessive marketing information, spam, or content containing any sexual or sexually suggestive content;
8.1.2.5 Other information that violates laws and regulations, policies, public order and good morals, social ethics, or disrupts the normal operation of Weixin or infringes upon the legitimate rights and interests of other users or third parties.
8.2 Software Usage Specifications
8.2.1 Unless permitted by law or authorized in writing by Tencent, you shall not engage in the following acts during the use of the Software:
8.2.1.1 Deleting copyright information on the Software and its copies;
8.2.1.2 Reverse engineering, reverse assembling, reverse compiling, or otherwise attempting to discover the source code of the Software;
8.2.1.3 Using, leasing, lending, copying, modifying, linking, reposting, assembling, publishing, or establishing mirror sites, etc. for content in which Tencent owns intellectual property rights;
8.2.1.4 Copying, modifying, adding to, deleting from, hooking to run, or creating any derivative works based on the Software or the data released into any terminal memory during the operation of the Software, the interaction data between the client and the server during software operation, and system data necessary for the operation of the Software, in forms including but not limited to accessing the Software and related systems using plug-ins, unauthorized software tools, or third-party tools/services not authorized by Tencent;
8.2.1.5 Modifying or forging instructions and data during software operation to add, delete, or change the functions or operational effects of the software, or operating or disseminating software or methods used for the aforementioned purposes to the public, regardless of whether such acts are for commercial purposes;
8.2.1.6 Registering, logging in to, using the Service, or performing automated operations through third-party software, plug-ins, unauthorized software tools, systems, etc. not developed or authorized by Tencent, or accessing, reading, or controlling the Software and its components, modules, interfaces, data, etc., or creating, publishing, or disseminating the aforementioned tools, methods, etc.;
8.2.1.7 Using third-party software or systems to interfere with or damage the Software and its components, modules, and data by oneself or by authorizing others, or circumventing or damaging the technical measures such as security protection set for the Software;
8.2.1.8 Other acts not expressly authorized by Tencent.
8.2.2 You understand and agree that, based on comprehensive factors such as user experience, operational security of Weixin or related service platforms, platform rule requirements, and healthy development, Tencent has the right to select the recipients to whom services are provided, determine functional settings, and decide the objects and scope of function opening, data interfaces, and relevant data disclosure. In view of the following circumstances, Tencent has the right to suspend or terminate the provision of the Service depending on the specific situation, including but not limited to:
8.2.2.1 Violation of laws, regulations, or the provisions of the Agreement;
8.2.2.2 Affecting the service experience;
8.2.2.3 Existence of security hazards;
8.2.2.4 Being similar or identical to major existing functions or functional components of Weixin or its service platforms, or being able to achieve the main utility of the aforementioned functions or functional components;
8.2.2.5 Where the interface, style, function, description, or user experience is similar to Weixin or its service platforms, potentially causing Weixin users to believe that the functions or services they are using originate from Tencent or are authorized by Tencent;
8.2.2.6 Violating the operating principles of Weixin or its service platforms, or failing to comply with other management requirements of Tencent.
8.3 Service Operation Specifications
Unless permitted by law or authorized in writing by Tencent, you shall not engage in the following acts during the use of the Service:
8.3.1 Submitting or publishing false information, or impersonating or utilizing the names of others;
8.3.2 Inducing other users to click on link pages or share information;
8.3.3 Fabricating facts or concealing the truth to mislead or deceive others;
8.3.4 Infringing upon others' legitimate rights such as reputation rights, portrait rights, intellectual property rights, and trade secrets;
8.3.5 Conducting promotion or mutual promotion through Weixin accounts, Feature Accounts and any functions, or third-party operating platforms, without Tencent's written permission;
8.3.6 Using Weixin accounts, Feature Accounts, or the Service to engage in any illegal or criminal activities;
8.3.7 Creating or publishing methods and tools related to the aforementioned acts, or operating or disseminating such methods and tools, regardless of whether such acts are for commercial purposes;
8.3.8 Other acts that violate laws and regulations, infringe upon the legitimate rights and interests of other users, interfere with the normal operation of products, or are not expressly authorized by Tencent.
To better safeguard the legitimate rights and interests of users and ensure a good user experience, Tencent has formulated the Standards of Weixin Account Usage (hereinafter referred to as the "Usage Specifications") for Weixin accounts. The Usage Specifications are an integral part of the Agreement. Please read carefully and comply with them accordingly. To provide users with a green, secure, healthy, and convenient online environment, Tencent may modify the Usage Specifications when necessary. Once the modified content is published, it becomes an integral part of the Agreement, and you shall likewise comply. You can view the latest version of the Usage Specifications on the official website of the Software.
8.4 Responsibility for One’s Own Actions
You fully understand and agree that you must be responsible for all actions under your registered account, including any content you publish, comments, likes, recommendations, and any consequences arising therefrom. You shall judge the content in the Service for yourself and bear all risks arising from the use of the content, including risks arising from reliance on the correctness, completeness, or practicality of the content. Tencent cannot and will not bear responsibility for any loss or damage caused by the aforementioned risks.
8.5 Handling of Breach
8.5.1 If Tencent discovers or receives reports or complaints from others that a user has violated the provisions of the Agreement, Tencent has the right to delete or block the relevant content at any time without notice, and depending on the circumstances of the act, impose penalties on the relevant account of the violating subject, including but not limited to warnings, restricting or prohibiting the use of partial or all functions, account banning until cancellation, or reclaiming the account, and announce the results of such handling.
8.5.2 You understand and agree that Tencent has the right to impose penalties on acts that violate relevant laws, regulations, or the provisions of the Agreement based on its reasonable judgment, take appropriate legal actions against any user who violates laws and regulations, and preserve relevant information to report to relevant authorities and cooperate with investigations in accordance with laws and regulations. The user shall independently bear all legal responsibilities arising therefrom.
8.5.3 You understand and agree that you shall independently bear responsibility for any claims, demands, or losses asserted by third parties resulting from or arising out of your violation of the provisions of the Agreement or relevant service terms. Where Tencent suffers losses as a result, you shall indemnify Tencent for such losses.
IX. Intellectual Property Rights Statement
9.1 Tencent is the holder of the intellectual property rights in the Software. All intellectual property rights such as copyrights, trademark rights, patent rights, and trade secrets of the Software, as well as all information content related to the Software (including but not limited to text, images, audio, video, figures and charts, interface design, layout frameworks, relevant data, or electronic documents) are protected by the laws and regulations of the People's Republic of China and corresponding international treaties. Tencent enjoys the aforementioned intellectual property rights, except for the rights that relevant rights holders shall enjoy in accordance with the law.
9.2 Without the written consent of Tencent or relevant rights holders, you shall not personally, or permit any third party to, implement, utilize, or transfer the aforementioned intellectual property rights for any commercial or non-commercial purposes.
9.3 For all content you upload or publish during the use of the Service, the intellectual property rights, portrait rights, and other rights will not be transferred due to the act of uploading or publishing. Meanwhile, you understand and agree that for the purpose of realizing product functions, Tencent may use specific publicly disclosed non-confidential content you publish (such as videos posted in Status, selfie stickers, and Channels content) within the scope permitted by law, including but not limited to storing, playing it to relevant users, and making it available for relevant users to obtain and reuse.
X. Terminal Security Responsibility
10.1 You understand and agree that the Software, like most Internet software, may be affected by various factors, including but not limited to user-related reasons, network service quality, and social environment. It may also be subject to various security issues, including but not limited to the illegal use of user data by others to carry out harassment in real life. Other software you download and install or other websites you access may contain viruses, Trojan horse programs, or other malicious programs that threaten the security of your terminal device information and data, which in turn may affect the normal use of the Software. Therefore, you should strengthen your awareness of information security and personal information protection, and pay attention to password protection to avoid losses.
10.2 You shall not create, publish, use, or disseminate malicious programs used to steal Weixin accounts, Feature Accounts, or others' personal information and property.
10.3 Tencent and you share the responsibility in maintaining the security and normal use of the Software. Tencent will adopt necessary technical measures in a reasonable and prudent manner in accordance with industry standards to protect the security of your terminal device information and data. However, you acknowledge and agree that Tencent cannot provide an absolute guarantee in this regard.
10.4 Under no circumstances should you easily trust online information involving borrowing money, requesting passwords, or other matters related to property. For operations involving property, please be sure to verify the other party's identity first, and please pay frequent attention to Tencent's tips on preventing fraudulent crimes.
XI. Third-Party Software or Technology
11.1 The Software may use third-party software or technology (including open-source code and public domain code that the Software may use, the same applies below), and such use has been legally authorized.
11.2 If the Software uses third-party software or technology, Tencent will, in accordance with relevant regulations or agreements, display the relevant agreements or other documents, possibly through appendices to the Agreement, packages in specific folders of the installation package of the Software, or open-source software pages. They may be expressed in the form of "Software License Agreement", "Authorization Agreement", "Open-Source Code License", etc. The aforementioned relevant agreements, other documents, and web pages presented in various forms are integral parts of the Agreement and have the same legal effect as the Agreement; you shall comply with these requirements. If you fail to comply with these requirements, such third party or state authority may initiate lawsuits, impose fines, or take other sanctions against you, and request Tencent to provide assistance, and you shall bear the sole legal responsibility.
11.3 Any disputes arising from third-party software or technology used by the Software shall be resolved by such third party, and Tencent shall not bear any responsibility. Tencent does not provide customer support for third-party software or technology. If you need to obtain support, please contact the third party.
XII. Miscellaneous
12.1 Your use of the Software shall be deemed as your having read and agreed to be bound by the Agreement. Tencent has the right to amend the terms of the Agreement when necessary, and remind you in an appropriate manner so that you can stay informed of the latest version of the Agreement. You can view the latest version of the Agreement in the Software under "Me - Settings - About Weixin" or on the official website. After the terms of the Agreement are amended, if you continue to use the Software, you shall be deemed to have accepted the modified agreement. If you do not accept the modified agreement, you shall stop using the Software.
12.2 The place of signing of the Agreement is Nanshan District, Shenzhen, Guangdong Province, the People's Republic of China.
12.3 The establishment, validity, performance, interpretation, and dispute resolution of the Agreement shall be governed by the laws of the Mainland of the People's Republic of China (excluding conflict-of-law rules).
12.4 If any dispute or controversy arises between you and Tencent, it shall first be resolved through friendly negotiation; if negotiation fails, you agree to submit the dispute or controversy to the people's court with jurisdiction in the place where the Agreement is signed.
12.5 All headings of the clauses of the Agreement are for reading convenience only and have no substantive meaning in themselves, and cannot be used as a basis for interpreting the meaning of the Agreement.
12.6 The Agreement may exist in multiple language versions, including Chinese and English. Where there is any conflict between the Chinese version and other language versions, the Chinese version shall prevail.
12.7 If any part of the terms of the Agreement is invalid or unenforceable for any reason, the remaining terms shall remain valid and binding on both parties.
